a. Eligibility

Users will not be able to access and use our services if applicable laws prohibit users of certain ages from receiving website or AI services and the user is below the age prescribed by law. If the user is under 20 years of age, the user represents and confirms that they have obtained consent from their legal guardian before accessing or using our services.

b. Acceptable Use

(1) Users may not access, use, or permit others to access or use the Services or AI to perform any actions that result or may result in the following:

• Violating any applicable laws (including but not limited to any manner that promotes, contributes to, or supports illegal activities), including behavior that describes, promotes, supports, causes, or distributes pornographic materials or materials involving sexual exploitation in any form
• Creating, promoting, publishing, or using or facilitating access to content that may be harmful to others, including inciting self-harm, discrimination, bullying, humiliation, and/or other emotional harm, which also includes causing harm by using AI to (a) use subliminal, manipulative, or deceptive techniques to distort behavior by impairing decision-making ability, or (b) exploit people due to their age, disability, or certain social or economic circumstances to distort their behavior
• Creating risks that may result in death or harm to individuals, including self-harm, suicide, matters related to illegal drugs, weapons, or any actions harmful to the body
• Creating, promoting, publishing, using, or facilitating access to adult content such as erotic chats, pornography, and content intended to arouse sexual excitement. In some cases, the determination will be at our discretion
• Deceiving others or causing misunderstanding, including but not limited to activities related to plagiarism, fraud, phishing or malware, and promoting misinformation or disinformation
• Creating, promoting, publishing, using, or facilitating access to content that may violate or infringe on the rights of others (including but not limited to intellectual property rights and privacy rights)
• Creating, promoting, publishing, using, or facilitating access to content criticizing, insulting, or referring to the monarchy and royal family, including damaging religion or the teachings of any religion, or content that may cause conflict among educational institutions or society
• Creating, promoting, publishing, using, or facilitating access to content containing profanity or hate speech, threats, or inciting hatred, discrimination, violence, or harassment of individuals based on race, religion, gender, age, disability, or social status
• Creating, promoting, publishing, using, or facilitating access to content that impersonates or imitates real persons (deepfake) with the purpose of deceiving or spreading misinformation
• Using AI to make automated decisions that affect individuals' rights or legal obligations
• Collecting or publishing personal information of others without consent
• Using AI to buy or sell illegal items or support illegal activities, such as drugs, weapons, or fraud
• Using AI to promote unauthorized commercial activities, such as advertising, spam, or marketing solicitation
• Attempting to circumvent, remove, disable, or defeat security systems, filters, or protective measures implemented by us
• Seeking professional advice (including but not limited to medical, psychological, financial, or legal advice) or content to be used for the purpose of engaging in other regulated activities (including but not limited to political campaigns or lobbying). Messages, responses, or AI-generated content cannot be interpreted as offers or provision of professional care services or as a substitute for consulting with qualified service providers
• Bypassing filters, controls, or safety or privacy mechanisms

(2) User access and use of Services shall be subject to these Terms and all applicable laws and regulations. Users may not:

• Access or use Services if you cannot and do not have the legal capacity to agree to these terms
• Copy, modify, adapt, translate, reverse engineer, disassemble, distribute, or create any derivative works of the Services without authorization, or any content within the Services, including any files, tables, or documents (or any part thereof), or seek or attempt to find source code, algorithms, methods, or techniques contained in the Services or any derivative works of the Services
• Distribute, license, transfer, or sell, in whole or in part, any Services or any derivative works of the Services
• Market, rent, or lease Services for a fee or charge, or use Services for advertising or any commercial solicitation, unless otherwise specified in these Terms
• Use Services without our express consent for any commercial or unauthorized purposes, including communication or facilitation of any advertising, solicitation, or commercial spam
• Interfere with or attempt to interfere with the normal operation of Services, disrupt our website or any networks connected to the Services, or circumvent any measures we may use to prevent or restrict access to the Services
• Incorporate Services or any part thereof into any other program or product. In such cases, we reserve the right to refuse service, cancel accounts, or restrict access to the Services at our sole discretion
• Use automated scripts to collect data from Services or otherwise interact with the Services
• Use or attempt to use another person's account, services, or systems without authorization from us
• Use Services to upload, send, distribute, store, or otherwise make available any files containing viruses, Trojan horses, worms, logic bombs, or other materials that are harmful or technologically hazardous; unsolicited or unauthorized advertising, solicitation, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other prohibited forms of solicitation; any personal information of third parties, including addresses, phone numbers, email addresses, identification document numbers and features (such as social security numbers, passport numbers), or credit card numbers; anything that infringes or may infringe any copyright, trademark, or other intellectual property rights, or personal rights of any person; anything defamatory to any person; obscene, objectionable, indecent materials, or materials that incite hatred or anger; anything that may cause, encourage, or provide instructions for criminal offenses, dangerous activities, or self-harm; anything intentionally designed to provoke or cause offense among people, particularly through profanity or bullying, or intended to harass, harm, cause pain, frighten, distress, embarrass, or cause anxiety to people; any threats of any kind, including threats to use force; anything racist or discriminatory, including discrimination based on race, religion, age, gender, disability, or sexual orientation

a. Rights to User Content

Users agree and confirm that any content or work that users upload or create, whether it is language used in templates, dialogue, characters, or other media ("Works" or "Created Content"), is something the user has the right to possess or has been legally authorized to use/publish, and such use does not infringe copyrights, personal rights, publicity rights, or any other rights under law or custom, unless the user has obtained permission from the actual rights holder.

Rights, ownership, and interests in such Works and Created Content shall remain with the User unless otherwise specified in these Terms and Conditions.

However, Users agree to grant us full usage rights to the extent permitted by law, being non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual, and irrevocable rights to copy, display, upload, distribute, transmit, make accessible, store, modify, exploit, commercialize, or use characters and created content in all formats, all media, or technology, whether existing or to be developed in the future, including but not limited to:

• Enabling other users to interact with characters and create content
• Promoting Services both within and outside the platform
• Providing features or systems that allow users to publish or commercially benefit from created content, under conditions and policies set by the platform (such as adapting content into novels with token compensation or revenue sharing arrangements)
• Other operations as specified in the relevant terms of use

Additionally, the platform may collect basic information from users such as age, gender, preferences, or other information for analysis, improving user experience, and developing more appropriate services. The processing of such personal data will be in accordance with the privacy policy notified to you on our website.

Users agree that all Created Content shall not conflict with the terms of use, acceptable use policy, or other guidelines related to these Terms, which we may update or modify at any time.

b. Responsibility for Content

Users acknowledge that we have no obligation to screen, review, audit, edit, or verify the accuracy or legality of user content. Users shall be solely responsible for all content that they or those they authorize create, upload, or publish through our channels, and users represent and warrant that such content will not violate laws, our terms of use, or related policies.

For the safety of users and others, as well as compliance with legal requirements and relevant policies, we reserve the right to take the following actions without prior notice:

• Remove, restrict access to, or limit the distribution of inappropriate, illegal, or content that violates these Terms, such as sexually inappropriate content, provocative content, content supporting suicide, violence, hatred, discrimination, or any other harmful content
• Suspend or disable user accounts that violate relevant terms
• Monitor usage (through automated systems or personnel, including third-party service providers) to ensure user usage complies with the Terms, service conditions, and applicable laws

5.1 Users warrant that they will not take any action that violates the rights of others, laws, or contractual obligations and legal duties, including copyright, intellectual property, or other rights of any person or legal entity.

5.2 Users agree not to use our channels to seek commercial benefits in their own name or on behalf of others, except as provided in the Terms. If users engage in such activities, users shall be solely responsible to partners for advertising, buying and selling goods, payments, delivery, and warranty of goods and services, or any other matters related to such commercial activities, and we shall not be liable for any impacts or damages arising from the user's business operations.

5.3 Users warrant that they will not copy or collect personal information such as names, addresses, emails, or content of others appearing on the website, and will not take any action leading to the distribution of media containing viruses, computer code, files, or programs designed to destroy, interfere with, or limit the use of Services, websites, software, or computer hardware.

5.4 Users warrant that they will not take any action contrary to or unlawful under the law, including reverse engineering, disassembling, or attempting to access the infrastructure, algorithms, or source code of the Services, whether in whole or in part.

5.5 Users warrant that they have the legal right to authorize us to publish and/or distribute their works through our channels.

6.1 Users understand and agree that we shall not be liable for any damages, whether direct or indirect, incidental damages, special damages, or consequential damages, including but not limited to damages from loss of profits, reputation, use, data, or losses that cannot be assessed (even if advised of the possibility of such damages), whether arising from contract, tort, negligence, strict liability, or otherwise, arising from:

• Use or inability to use Services
• Accessing, using, creating, or interacting with content, characters, or AI-generated content
• Sharing content, characters, or AI-generated content with third parties
• Unauthorized access to or modification of user data or transmissions
• Statements or conduct of third parties (including other users) on the Services
• Any other events related to the use of Services

6.2 We reserve the right not to be liable in cases where users publish works, content, language, images, text, audio, or any elements of a prohibited nature as specified in these Terms.

6.3 We do not warrant that use of Services will meet user requirements, be error-free, fast, secure, or uninterrupted, nor do we warrant that information received from Services will be accurate, reliable, or as expected. Use of Services is the sole responsibility of users for any damages that may occur, whether to devices, data, or user systems.

6.4 Internet connectivity, unauthorized system access, destruction of data or programs, disruption of computer systems or networks, and data espionage, which are beyond our control, shall not be within our scope of liability.

6.5 If users fail to comply with the rules, regulations, or terms of use of Services, we have the right to revoke membership, discontinue services, delete data, delete accounts, or take any action with user data and accounts without prior notice, and shall not be liable for any damages arising from such actions.

8.1 Our channels may contain links to other websites, applications, or internet resources to facilitate access to our channels. However, users acknowledge and consent that we have no control over the content, accuracy, or reliability of such external websites, applications, or resources.

8.3 The decision to use our channels found through external websites, applications, or resources shall be the sole responsibility of the user.

9.1 Content, works, text, graphics, logos, button icons, images, software, and all elements appearing on our channels are our intellectual property, protected under copyright law and other relevant laws. Users agree not to take any action that infringes such intellectual property rights, and will not reproduce, modify, publicly distribute, reverse engineer, create derivative works, or commercially exploit without authorization from us or the relevant rights holders, except as required or expressly permitted by law.

9.2 For content that users submit or create through the Services, users warrant that they have all necessary rights or authorizations to submit or publish such content and retain ownership rights in such content. However, users agree to grant us a non-exclusive, transferable, sublicensable, worldwide, royalty-free, perpetual, and irrevocable license to copy, store, modify, adapt, publish, transmit, display, reproduce, create derivative works, commercially use, or otherwise exploit in any manner related to our Services in any form or technology existing now or developed in the future, including the right to authorize other users to create derivative works or adaptations from user-submitted content.

9.3 Users agree not to upload, post, or embed links from third-party websites, applications, or resources, or from other copyright owners without authorization, and will not distribute such content through our Services. If such actions cause damage to rights holders, users shall be solely responsible for costs, legal proceedings, or damages, including other expenses related to claims, lawsuits, or judgments arising from or related to such infringement of others' rights.

9.4 We reserve the right to access, review, screen, edit, modify, or remove user content from Services at any time if we believe such content may violate Terms, conditions, laws, or is inappropriate for the Services. Users agree and acknowledge that we shall not be liable for any damages arising from reviewing, screening, editing, modifying, or removing user content from Services, including damages arising from third-party content, content created by other users, or AI-generated content, and users agree to assume all risks arising from accessing or using such content.

9.5 Users consent that questions, suggestions, and comments submitted to us regarding Services shall be considered non-confidential information, and we have the right to use or publish them for any purpose without compensation or prior notice. We may retain or disclose information related to user content as required by law or by competent authorities.

10.1 Users warrant that any works, content, or information they submit, publish, or store through our channels does not infringe copyrights, legal rights, including privacy rights and public disclosure rights of others, or violate social norms or related laws, whether in whole or in part.

10.2 If it later appears that user works or content infringe the rights of others and damages are claimed, users agree to take all necessary actions to promptly resolve such claims or allegations, and shall be responsible for compensating damages, legal costs, attorney's fees, and all other related expenses to us.

10.3 In cases where we receive notice from rights holders or their legal representatives that infringing content is being published through our Services, we have the right to take the following takedown procedures:

• Notification: Rights holders may submit a notice to us through [please specify the email address for submissions or link to the Notice and Takedown submission system] specifying details of the content believed to be infringing, along with evidence or information clearly demonstrating their rights in such works, including at minimum:

1. Complainant's name, surname, address, and signature of complainant or authorized representative confirming the violation

3. Details of damages to users or third parties
4. Certification that the notice requesting suspension or removal of illegal computer data from the system is true

• Takedown: Upon receipt of notice, we will promptly suspend or remove allegedly infringing content from the system to prevent potential liability
• Counter-notice: Users accused of publishing infringing content have the right to submit a counter-notice with reasons and supporting evidence that the publication does not infringe rights
• Consideration and further action: If users submit a counter-notice, we will notify the rights holder, and if the rights holder does not pursue legal action within the legally prescribed period, we may consider restoring or returning such content to the system
• Liability of notifier: Notifiers shall be liable for filing false notices or causing damage to users or others

We reserve the right to remove, suspend, or refuse to publish any content believed to potentially infringe copyrights, violate laws, or be inappropriate under these Terms and Conditions without prior notice, and users agree that we shall not be liable for any damages arising from such actions.

11.1 "Coins" means prepaid payment instruments or similar items issued by us that users can use to exchange for Services and content provided for a fee within the Services.

11.2 Coins will be delivered to user accounts by methods we designate, such as purchasing coins through our channels, special offers, and other methods. We will determine the purchase units, payment methods, and any other conditions for providing coins and specify them on our channels or website.

11.3 Coins cannot be exchanged for or used as cash, property, or other economic value other than Services and content designated by us. We will determine the number of coins required for receiving Services or content, as well as other conditions for coin exchange, and specify them on the Services or our website.

11.4 Coins can only be used from the account that received them. Additionally, coins delivered from devices on different operating systems may not be transferable or combinable, even if using the same name, due to different coin types.

11.5 Coins cannot be refunded for any reason. However, this provision shall not apply where required under applicable laws and regulations, in which case we will establish refund procedures in accordance with relevant laws and regulations, and such information will be published on our website.

11.6 All payments will be processed by payment service providers. We shall not be liable for users' incorrect transfers of coin purchase payments.

12.1 We reserve the right to cancel, suspend, or delete user works or accounts ("Service Termination") without prior notice if we find that users have taken any actions contrary to these Terms.

12.2 In cases of Service Termination, we may revoke user access to Services without having to repurchase coins remaining in your account, and we reserve the right to amend or change Terms, conditions, privacy policies, related laws, regulations, or security measures, including technical changes to Services, without prior notice.

12.3 Any changes we make will take effect immediately. Users are responsible for reviewing the Terms and Conditions each time they use the Services. If users do not accept the changed Terms, they will not be able to access or use the Services.

13.1 Under the Personal Data Protection Act B.E. 2562 and other relevant laws, all information provided by users or collected by us in providing Services shall be subject to our Privacy Policy

13.2 We reserve the right to use such information for marketing, advertising, promotional activities, or offering other products and services that may be of interest to users, within the scope of the privacy policy and when we have obtained your consent or have other legal bases for processing personal data for such purposes.

13.3 For information that users submit or publish through Services that may be publicly accessible, users are responsible for maintaining the security of such information themselves. We shall not be responsible for maintaining the confidentiality of information published through public channels, or information transmitted via email, internet, or other networks beyond our control.

13.4 We reserve the right not to be liable for user actions that affect their own or others' personal information.

14.1 Accessing or using our Services constitutes acceptance of all these Terms, and users agree to strictly comply with such Terms, including being liable for damages arising from the use or access of our Services. If any provision or part of these Terms and Conditions is invalid, illegal, or unenforceable, such provision or part shall be deemed severed from these Terms and Conditions without affecting the validity, legality, or enforceability of the remaining provisions.

14.2 Any disputes arising from or in connection with these Terms, including any questions regarding their existence, validity, or termination, shall be submitted to and finally resolved by arbitration administered by the Thailand Arbitration Center ("THAC") in accordance with THAC Arbitration Rules ("THAC Rules") in effect at that time, which shall be deemed incorporated into this clause by reference. The place of arbitration shall be Thailand. The arbitral tribunal shall consist of three (3) arbitrators. The language of arbitration shall be Thai.
